Terms of Use

Plain-English summary (the full terms below control): outgive.lol is operated by a for-profit Texas limited liability company, not a charity. When you pay to claim a rank you are paying us. From every gift we deduct a 5% admin fee plus 3% + $0.30 for card processing and grant everything else to the charity featured that week. Gifts are not tax deductible, all payments are final, and we can remove any listing at any time.

1. Acceptance of these Terms

These Terms of Use ("Terms") are a binding agreement between you and the operator of outgive.lol, a Texas limited liability company ("outgive", "we", "us", "our"). By accessing or using outgive.lol, submitting a listing, or making a payment (together, the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service. You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Service.

2. What the Service is

The Service is a public, entertainment-oriented leaderboard on which users pay to rank a website or social handle ("Listing"). Rank is determined by the lifetime total paid for a Listing, as described on the Rules page, which is incorporated into these Terms. Rankings, click counts, and statistics are provided for entertainment and informational purposes only.

3. outgive is not a charity

outgive is an independent, for-profit business. It is not a charity, nonprofit, 501(c)(3) organization, donor-advised fund, fundraising platform, professional fundraiser, or fundraising counsel, and it does not solicit contributions on behalf of, or as agent for, any charitable organization. Each payment you make ("Gift") is a payment to outgive for the ranking and display of your Listing. As a condition of operating the Service, outgive publicly commits to grant the Charity Share of each Gift (defined in Section 5) to the charitable organization featured on the Service at the time your payment completes (the "Featured Charity"), as set out in Section 4.

Gifts are not tax deductible. You will not receive a charitable receipt, acknowledgment, or tax documentation from outgive or from any Featured Charity. Nothing on the Service is tax, legal, or financial advice. If tax treatment matters to you, give directly to the charity instead.

4. Featured Charity, rotation, and disbursement

• outgive features one charitable organization at a time from a published rotation list. The Featured Charity changes weekly (currently each Monday at 00:00 UTC). We may add, remove, reorder, or replace organizations in the rotation at any time, at our sole discretion.
• Featured Charities do not sponsor, endorse, operate, or control the Service, have not reviewed these Terms, and are not parties to this agreement. Their names and logos are used solely to identify the intended recipient of our grants.
• We intend to disburse the aggregate Charity Share received during each featured week to that week's Featured Charity within 45 days after the week ends. If a Featured Charity declines or is unable to accept funds, has lost or cannot demonstrate charitable status, or cannot be reached with reasonable effort, we will grant the funds to another reputable charitable organization with a comparable mission, at our discretion.
• Because disbursements are made in our name, in aggregate, you will not be identified to the Featured Charity unless we choose to share donor names and you have consented.
• We maintain a per-week ledger of Gifts received and amounts granted and may publish summary figures on the Service.

5. Fees and the Charity Share

From each Gift, outgive deducts:

• an administrative fee of five percent (5%) of the Gift amount, which covers hosting, development, support, and other operating costs and is retained by outgive; and
• a payment processing fee of three percent (3%) of the Gift amount plus thirty cents ($0.30) per transaction. This is a fixed charge that approximates what our payment processor charges us; actual processor costs may be higher or lower, and any difference is borne by or retained by outgive.

The remainder is the "Charity Share" and is committed to the Featured Charity under Section 4. For example, a $100 Gift yields a $5.00 admin fee, a $3.30 processing fee, and a $91.70 Charity Share. The amount charged to your payment method is the Gift amount you enter. The breakdown shown before checkout reflects this formula.

6. Payments, finality, and chargebacks

• Payments are processed by a third-party payment processor (currently Stripe). We never see or store your full card details. Your use of the processor is subject to its own terms.
• All payments are final. Because the Charity Share is committed to charity and the ranking is delivered instantly, Gifts are non-refundable except where required by applicable law. Ranking position is not guaranteed for any duration; you may be outgiven at any moment, which is the entire point.
• If you initiate a chargeback or dispute, we may remove your Listing, ban you from the Service, and recover related costs where the law allows.
• You represent that you are authorized to use the payment method and that the funds are not derived from unlawful activity.

7. Listings and acceptable use

You may list a website you own or are authorized to promote, or an X handle that belongs to you or that you are authorized to promote. You may not submit Listings that:

• link to or promote illegal goods or services, malware, phishing, scams, fraud, or deceptive practices;
• contain or link to sexually explicit content, gambling illegal in the viewer's jurisdiction, weapons, or controlled substances;
• promote hate, harassment, violence, or discrimination;
• impersonate another person or entity, or list a website or handle you have no right to promote;
• are chat invite links, link shorteners, redirectors, or URLs that depend on query parameters (which are stripped);
• infringe any copyright, trademark, privacy, or other right; or
• violate any applicable law or the rights of others.

You may not interfere with the Service, scrape it in a way that burdens it, attempt to manipulate rankings or click counts, use automated means to pay, or circumvent any limitation or moderation decision.

For website Listings, we may automatically retrieve and display the page's public title, description, and icon. You are responsible for that content and may ask us to edit or remove it by emailing hello@outgive.lol.

8. Moderation and our discretion

We may review, edit, re-key, refuse, hide, or remove any Listing, and suspend or ban any user, at any time, for any reason or no reason, with or without notice, and without refund. Removal of a Listing does not affect our commitment to grant the Charity Share of Gifts already received. We have no obligation to monitor Listings and do not endorse any Listing or the websites or people they link to.

9. Intellectual property

• The Service, including its name, design, code, text, graphics, and compilation of Listings, is owned by outgive or its licensors and is protected by United States and international copyright, trademark, and other laws. Except for viewing the Service in a browser for personal use, you may not copy, reproduce, frame, scrape, or create derivative works of the Service without our prior written permission.
• By submitting a Listing you grant outgive a worldwide, non-exclusive, royalty-free, perpetual license to display, reproduce, and distribute the submitted name, URL, handle, and associated title, description, favicon, or avatar on the Service and in promotion of the Service. You represent that you have all rights needed to grant this license.
• Third-party names, logos, favicons, and trademarks (including those of Featured Charities and listed websites) belong to their respective owners and are displayed for identification only. Their appearance does not imply affiliation or endorsement.
• outgive is an independent project and is not affiliated with, endorsed by, or connected to outbid.lol or its operators.

10. Copyright and trademark complaints

If you believe content on the Service infringes your rights, email legal@outgive.lol with: (a) the URL of the Listing; (b) identification of the work or mark you claim is infringed; (c) your contact details; (d) a statement that you have a good-faith belief the use is unauthorized; and (e) a statement, under penalty of perjury, that the information is accurate and that you are the rights holder or authorized to act for them. We respond to valid notices consistent with the Digital Millennium Copyright Act and comparable laws and may remove Listings accordingly.

11. Third-party links and services

The Service links to third-party websites and profiles submitted by users, to Featured Charities, and relies on third-party providers (including Stripe, Google Firebase, and PostHog). We do not control and are not responsible for third-party content, availability, security, or practices. Your dealings with third parties are solely between you and them.

12. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT ANY LEVEL OF TRAFFIC, CLICKS, VISIBILITY, RANKING DURATION, COMMERCIAL RESULT, OR ANY PARTICULAR TAX, LEGAL, OR CHARITABLE OUTCOME. THE SERVICE MAY BE CHANGED, SUSPENDED, OR DISCONTINUED AT ANY TIME.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OUTGIVE AND ITS MEMBERS, MANAGERS, OWNERS, OPERATORS, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE ADMINISTRATIVE FEES YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnification

You agree to defend, indemnify, and hold harmless outgive and its members, managers, owners, operators, contractors, and suppliers from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your Listings, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.

15. Changes; termination

We may change these Terms at any time by posting an updated version with a new "Last updated" date. Continued use after changes constitutes acceptance. We may modify, suspend, or shut down the Service, in whole or in part, at any time. Sections 3 through 18 survive termination.

16. Governing law, venue, and disputes

These Terms and any dispute arising out of or relating to them or the Service are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-law rules. You agree that the exclusive venue for any such dispute is the state or federal courts located in Texas in the county where outgive maintains its principal office, and you consent to personal jurisdiction there, except where applicable consumer protection law requires otherwise. Before filing any claim you agree to attempt to resolve the dispute informally by emailing legal@outgive.lol and allowing at least 30 days for a response.

TO THE EXTENT PERMITTED BY LAW, YOU AND OUTGIVE EACH WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Nothing in these Terms waives any right that cannot be waived under Texas law.

17. General

These Terms, the Rules, and the Privacy Policy are the entire agreement between you and outgive regarding the Service. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them freely. Notices to you may be posted on the Service. The Service is controlled and operated from the United States; you are responsible for compliance with local laws if you access it from elsewhere.
